II. Financial Terms and Conditions
1. Eligibility / Conditions
Not withstanding all credit terms and conditions, the buyer agrees to pay all outstanding amounts, including interest, cost or penalties incurred, immediately under the following conditions:
- Breach of present agreement terms.
- Late or missed payments which renders all outstanding invoices due regardless of dating.
- Bankruptcy, insolvency or if the business had been placed in the hands of a receiver, trustee or assignee for the benefit of its creditors, voluntary act or otherwise.
- Seizure or sale of business assets within 10 days of such action.
- Any other circumstance that affects buyer's ability to pay.
In such events, the seller may repossess merchandise without legal proceedings, all the merchandise that has been delivered and retains ownership until full payment is made. In addition, any assets and/or credit balances remaining on the account after any such event mentioned above, are nontransferable and will be null and void. However, should the central administration centre of the account/buyer suffer the above, the store is still legally responsible for all outstanding balances on the account.
Additional Terms:
- Products may not be resold into markets outside Canada, or to any person, company or entity within Canada.
- Products not paid in full remain the seller’s property until the account is satisfied in writing. Otherwise, the seller reserves the right to request the product be returned in good condition to satisfy the account balance to further avoid any legal action.
2. Credit Conditions
- Credit terms may be revised at any time.
- The buyer must not exceed credit limits.
- Payment is due on the date indicated on the invoice
- Invoices not paid according to Best Buy Medical’s terms of sale are subject to a late payment charge of 1.50% per month (18% per annum)
- Buyers must notify the seller of major changes affecting credit (e.g., corporate changes, restructuring).
The seller may withhold deliveries if terms are violated.
3. Charges / Claims
- The buyer is responsible for all collection costs and legal fees incurred by the seller in enforcing rights related to unpaid balances.
4. Transfer of Merchandise / Contractual Terms
- Dealers must not sell Best Buy Medical’s products to other retailers, agents, or distributors. Any deviation of this rule may cause cancellation of the account and/or legal action for damages.
- Best Buy Medical’s terms override any conflicting purchase order terms.
- The above terms apply to all sales and future transactions whether such future business relations are evidenced in writing.
5. Acknowledgment
By signing, the applicant confirms the accuracy of all provided information and authorizes Best Buy Medical to verify, share and exchange information necessary to support your credit account, including, credit bureaus, and other financial dealings with other person/agency as permitted by law.
In addition, by signing this document electronically, you agree that your electronic signature, whether in cursive or typed, is the legal equivalent of your manual/handwritten signature and consent to the legally binding terms and conditions of this document. You also confirm that you are authorized to enter into this agreement and represent the owner or manager of the business.
